Welcome to WorkFus.com, a freelance marketplace connecting employers and freelancers across Africa, Asia, and the world. These Terms and Conditions govern your use of our platform, including but not limited to accessing and purchasing services, browsing our website, and any interaction with our content. By using WorkFus.com, you agree to comply with and be bound by these Terms and Conditions. Please read them carefully.

2. Definitions

  • “Company,” “we,” “us,” or “our” refers to WorkFus.com.
  • “Platform” refers to the website, services, and applications provided by WorkFus.com.
  • “User” refers to anyone who uses the Platform, including but not limited to freelancers, employers, and visitors.
  • “Freelancer” refers to a User who offers services through the Platform.
  • “Employer” refers to a User who seeks services through the Platform.
  • “Services” refers to the services provided by Freelancers on the Platform.
  • “Content” refers to any text, graphics, images, audio, video, or other material uploaded or created on the Platform.

3. User Account Registration

3.1 Eligibility: To use our Platform, you must be at least 18 years old and have the legal capacity to enter into contracts. By registering on WorkFus.com, you represent and warrant that you meet these requirements.

3.2 Account Creation: To access certain features of the Platform, you must create an account. You agree to provide accurate, complete, and current information during the registration process and to update such information to keep it accurate, complete, and current.

3.3 Account Security: You are responsible for maintaining the confidentiality of your account login credentials and are fully responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. User Conduct

4.1 Prohibited Activities: Users agree not to engage in any of the following prohibited activities:

  • Violating any local, state, national, or international laws.
  • Infringing on the rights of others, including intellectual property rights.
  • Uploading or transmitting viruses, malware, or any other harmful code.
  • Engaging in any activity that interferes with or disrupts the Platform or its associated networks.

5. Services and Transactions

5.1 Service Listings: Freelancers may offer services through the Platform. These listings must be accurate and not misleading. WorkFus.com reserves the right to remove or modify any listings that violate these Terms and Conditions.

5.2 Payments: Employers may purchase services from Freelancers through the Platform. All payments must be made through the WorkFus.com payment system. WorkFus.com may charge fees for transactions, which will be disclosed to Users prior to any transaction.

5.3 Disputes: Any disputes between Employers and Freelancers regarding the quality, delivery, or completion of services must be resolved between the parties involved. WorkFus.com may provide dispute resolution assistance but is not obligated to do so.

5.4 Refunds: Refund policies are determined by the individual Freelancers. WorkFus.com does not offer refunds unless explicitly stated otherwise.

6. Intellectual Property Rights

6.1 Ownership: WorkFus.com owns all rights, title, and interest in and to the Platform, including all content, software, and technology used to provide the services. Users may not copy, modify, distribute, sell, or lease any part of our Platform or its content without our prior written consent.

6.2 User Content License: By submitting content to the Platform, you grant WorkFus.com a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform the content in connection with the operation of the Platform and our business.

7. Privacy and Data Protection

7.1 Data Collection: WorkFus.com collects and uses personal data in accordance with our Privacy Policy, which is incorporated into these Terms and Conditions by reference. By using the Platform, you agree to the collection and use of your data as described in our Privacy Policy.

9. Limitation of Liability

9.1 No Warranty: The Platform and all content and services provided through it are provided “as is” and “as available,” without any warranties of any kind, either express or implied. WorkFus.com disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

9.2 Limitation of Liability: In no event shall WorkFus.com, its affiliates, or its licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Platform; (ii) any conduct or content of any third party on the Platform; (iii) any content obtained from the Platform; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

10. Indemnification

You agree to defend, indemnify, and hold harmless WorkFus.com, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Platform; (ii) your violation of any term of these Terms and Conditions; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your content caused damage to a third party.

11. Termination

11.1 Termination by You: You may terminate your account at any time by following the instructions on the Platform. Upon termination, you must cease all use of the Platform and delete any copies of content obtained from the Platform.

11.2 Termination by WorkFus.com: We reserve the right to terminate or suspend your account and access to the Platform

at our sole discretion, without notice or liability, for any reason, including but not limited to your breach of these Terms and Conditions.

11.3 Effect of Termination: Upon termination, all licenses granted to you by WorkFus.com will immediately terminate, and you must cease all use of the Platform. Any provisions of these Terms and Conditions that by their nature should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Dispute Resolution

12.1 Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction where WorkFus.com is headquartered, without regard to its conflict of law principles.

12.2 Dispute Resolution: Any disputes arising out of or in connection with these Terms and Conditions, including any questions regarding their existence, validity, or termination, shall be resolved by binding arbitration in accordance with the rules of the arbitration body chosen by WorkFus.com. The arbitration shall be conducted in English, and the place of arbitration shall be determined by WorkFus.com.

13. Miscellaneous

13.1 Severability: If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.2 Waiver: No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term, and WorkFus.com’s failure to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.

13.3 Entire Agreement: These Terms and Conditions, along with any other legal notices and agreements published by WorkFus.com on the Platform, constitute the entire agreement between you and WorkFus.com regarding your use of the Platform.

13.4 Amendments: We may amend these Terms and Conditions from time to time. The updated Terms and Conditions will be posted on the Platform, and the date of the latest revision will be indicated at the top of the document. You are encouraged to review the Terms and Conditions periodically. Your continued use of the Platform after any changes to these Terms and Conditions constitutes your acceptance of the new terms.
